We reserve the right to modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the new Terms.

Vabrinex is a growth infrastructure platform that provides:

• AI-powered content generation and suggestions
• Social media content scheduling and publishing
• Customer relationship management (CRM) tools
• Analytics and reporting
• Integration with third-party social media platforms

3. Account Registration

To use our Service, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your information
• Accept responsibility for all activities under your account

You may not share your account credentials or allow others to access your account. You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account.

4. Acceptable Use

You agree NOT to use the Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Publish false, misleading, or deceptive content
• Harass, abuse, or harm other users
• Distribute spam, malware, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the Service
• Violate the terms of connected third-party platforms
• Use automated systems to access the Service without permission

5. Third-Party Social Media Integration

Our Service integrates with third-party social media platforms including Meta (Instagram, Facebook), Twitter/X, LinkedIn, and TikTok. By connecting these accounts:

• You authorize us to access and publish content on your behalf
• You agree to comply with each platform's terms of service
• You acknowledge we are not responsible for third-party platform changes or outages
• You understand that platform policies may affect content publishing

We are not affiliated with these third-party platforms and cannot guarantee uninterrupted access to their services.

6. Content Ownership and Licenses

6.1 Your Content

You retain ownership of all content you create or upload to the Service. By using our Service, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and display your content solely for the purpose of providing and improving our Service.

6.2 AI-Generated Content

Content generated by our AI tools is provided for your use. You are responsible for reviewing and editing AI-generated content before publishing. We do not guarantee the accuracy, originality, or appropriateness of AI-generated content.

6.3 Our Content

All other content, features, and functionality of the Service (including but not limited to design, graphics, software, and trademarks) are owned by us and protected by intellectual property laws.

7. Subscription and Payment

• Subscription fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change pricing with 30 days' notice
• Failure to pay may result in service suspension or termination
• You are responsible for all applicable taxes

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Vabrinex, Budget Digital Solutions, and our affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

10. Termination & Data Deletion

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. You may cancel your account at any time through your account settings. Upon termination, your right to use the Service will immediately cease. You may request full deletion of your data at any time by using the data export and deletion tools in your account settings or by contacting us at privacy@vabrinex.com. We will process deletion requests within 30 days in compliance with GDPR and CCPA requirements.

11. Artificial Intelligence & Generated Content

Vabrinex uses third-party AI models (including OpenAI) to generate content, perform audits, and provide business insights. Important disclosures:

• No Training: Your business data is NOT used to train AI models. We use API-only access with strict data processing agreements.
• Accuracy: AI-generated content (audits, suggestions, action items) is provided as guidance only. You are responsible for reviewing and validating all AI outputs before acting on them.
• Ownership: You retain full ownership of any content generated through the platform using your business data.
• Liability: We are not liable for decisions made based on AI-generated analysis or recommendations. These are tools to assist, not replace, professional judgment.

12. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules. You waive any right to participate in class action lawsuits or class-wide arbitration.

13. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and us
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not constitute a waiver
• Assignment: You may not assign your rights without our consent
• Governing Law: These Terms are governed by applicable laws
